TikTok Creator Program Agreement

BY ENROLLING IN THE INNO SUPPS TIKTOK SHOP PROGRAM, YOU ARE CONFIRMING THAT YOU HAVE READ THESE TERMS & CONDITIONS AND AGREE TO BE BOUND THEREBY.

This Inno Supps TikTok Shop Program Agreement (“Agreement”) is entered into by and between Clean Supps, LLC (“Inno Supps” or the “Company”) and the Participant (“Participant,” “Creator,” or “You”) enrolled in the Inno Supps TikTok Shop Program (“Program”).

Purpose

The Inno Supps TikTok Shop Program is designed to promote brand awareness, drive sales through TikTok Shop, and reward creators for content that converts, in accordance with these terms.

Program Description

Participation in the Program allows Creators to earn commission on sales of Inno Supps products made through TikTok Shop, tracked natively through TikTok's Creator Marketplace, subject to the terms outlined herein. Creators acknowledge that supplements are not intended to diagnose, treat, cure, or prevent any disease, and that use of Inno Supps products is solely at the Creator's own risk. Inno Supps disclaims any provision of medical advice and recommends Creators consult a healthcare professional before product use.

Eligibility Requirements

To qualify, participants must:

  • Be at least 18 years of age

  • Be legal residents where applicable

  • Have an active, verifiable TikTok account connected to TikTok Shop's Creator Marketplace

  • Join and remain active in the Inno Supps Discord community

  • Have an active PayPal account or bank account for payment processing via Euka

Creator Responsibilities

As an independent contractor, Participant shall:

  • Create original content promoting Inno Supps products via TikTok Shop, in compliance with TikTok's Community Guidelines and Commerce Policies

  • Strictly adhere to FTC disclosure requirements for all sponsored/affiliate content

  • Tag content appropriately per Inno Supps' current TikTok content guidelines, as communicated via Discord or the Euka platform

  • Maintain reasonable posting activity and engagement; failure to do so may result in suspension or removal from the Program

Compensation & Payment Structure

Participant shall earn Commission on Net Sales of Product (final sale price less returns, chargebacks, and applicable deductions) made through TikTok Shop and attributed to Participant via TikTok's native Creator Marketplace tracking. Commission rates are determined by Inno Supps and subject to change with prior notice, effective only for sales occurring after such change. Commission payouts are processed through Euka, subject to TikTok Shop's standard payout timing (currently a baseline hold period following order delivery, which may extend the payout timeline beyond 30 days in some cases; exact timing is governed by TikTok Shop's payment systems, not Inno Supps). Company shall only pay Commission on Net Sales completed on or before the termination date of this Agreement. Once Participant earns a Commission, Participant will receive notice of earned Commission via the email address registered in connection with enrollment in the Program.

Company reserves the right to terminate Participant's participation in the Program immediately, at any time, and indefinitely, if Company suspects or knows of any improper, prohibited, or fraudulent act, or any breach or potential breach of this Agreement by Participant. Company reserves the right to immediately cancel this Agreement without notice or withhold payment of Commission in the event that the Commission results from prohibited activities under this Agreement. Company reserves the right, in its sole discretion, to change or modify the Program, Commission payment percentage, structure, or timing of payment at any time, provided that such changes shall not be applicable to Commissions already earned at the time of such change or modification.

Content & Intellectual Property

As between Participant and Company, Company shall own all right, title, and interest, including all Intellectual Property Rights, in and to Inno Supps and this Program. “Intellectual Property Rights” means copyright rights, trademark rights, patent rights, trade secrets, moral rights, right of publicity, authors' rights, contract and licensing rights, goodwill, and all other intellectual property rights as may exist now and/or hereafter come into existence, regardless of whether such rights arise under the laws of the United States or any other state, country, or jurisdiction.

As between Participant and Company, Participant retains ownership of content created and used in connection with Participant's TikTok Shop activity under this Program (“Content”). Content shall comply with the laws of each and every jurisdiction in which the Content is used or posted, including the laws and regulations of the U.S. Federal Trade Commission. Participant shall be solely liable for any failure to comply with such laws and regulations, and Company shall have the immediate right to terminate this Agreement, with or without notice, in the event of non-compliance.

License: Participant grants to Company and its Affiliates a royalty-free, perpetual, non-exclusive, irrevocable license to use, copy, modify, distribute, perform, display, and create derivatives of the Content as if such Content were owned by the Company. Participant grants to Company an irrevocable, perpetual, and unlimited right, but not the obligation, to use Participant's name, image, and likeness in connection with the Content, and any such use shall not give rise to any fees or expenses. Participant represents and warrants that Participant is the owner of the Content and has obtained written consent from every person appearing in the Content to use and license such person's name, image, and likeness in the Content. Participant understands Participant is liable for any claims, causes of action, damages, costs, or expenses (including attorneys' fees) that might arise as a result of failure by Participant to secure the express written consent of any person appearing in the Content as required in connection with this Agreement. Participant agrees that by participating in this Program, Participant is agreeing to indemnify the Company for any claims, causes of action, damages, costs, or expenses (including attorneys' fees), whether known or unknown, that might arise as a result of such failure.

Participants shall comply with Inno Supps' brand guidelines and must obtain prior written consent for any use of the Company's logos, trademarks, or other proprietary intellectual property in ways not expressly authorized herein.

Compliance & Code of Conduct

Participants are expected to conduct themselves in a professional manner by adhering to all applicable laws, regulations, and best practices in online communication and commerce. Participants are expected to maintain the highest standards of professionalism, honesty, and ethical behavior in all interactions, online and offline, when serving as a representation of the Inno Supps brand. Participants must refrain from making any misleading claims, disseminating offensive or defamatory content, or engaging in promotions that directly conflict with Inno Supps' interests. Inno Supps reserves the right to request takedown of any content from the Participant that does not fit the best interest of the Company.

Termination & Removal

Inno Supps reserves the right to terminate a Participant's participation for reasons including, but not limited to, non-compliance with Program terms, misconduct, or any activity detrimental to the Company's reputation, including but not limited to:

  • Violation of TikTok's Community Guidelines or Commerce Policies

  • Breach or violation of any of the Program's terms and conditions

  • Violation of any federal, state, or local laws

  • Engagement in activities or conduct that may damage or harm the reputation of Inno Supps

  • Failure to maintain timely communication with Inno Supps, including but not limited to neglecting to submit required tax documentation or other verification materials

Inno Supps reserves the right to terminate a Participant's participation at any time, without notice, and without obligation to provide any compensation, except as otherwise provided by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER INNO SUPPS NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL INNO SUPPS' TOTAL LIABILITY TO PARTICIPANT EXCEED THE AMOUNT OF COMMISSIONS EARNED BY PARTICIPANT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Participants agree to indemnify, defend, and hold harmless Inno Supps, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with their participation.

Participants acknowledge and agree that they are independent contractors and not employees of Inno Supps. As independent contractors, Participants: (1) are free to provide similar services to other companies and maintain their own independent business operations; (2) are responsible for all business expenses, taxes, and insurance related to their promotional activities; (3) shall determine their own schedule, methods, and manner of performing services; and (4) are not eligible for any employee benefits or protections. Inno Supps makes no guarantees, representations, or warranties regarding any specific income, sales results, or performance outcomes as a result of participation in the Program.

Updates to Terms

These Terms and Conditions may be amended from time to time at the sole discretion of Inno Supps, with changes becoming effective upon posting on the official website, via Discord, or via direct communication. Continued participation in the Program after such notice constitutes acceptance of the modified terms. Participants will be notified of any modifications through the email addresses provided or via alerts on the Euka platform or Discord, and it is the Participant's responsibility to review such communications.

Disclaimer of Warranty

THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES, OR GUARANTEES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM OR ANY PRODUCTS SOLD THROUGH THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). THE COMPANY MAKES NO WARRANTY (i) THAT THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THAT THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (iii) THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA RESULTING FROM SUCH DOWNLOAD OR USE. THE COMPANY MAKES NO REPRESENTATION THAT THE OPERATION OF THE COMPANY'S WEBSITE, TIKTOK SHOP, EUKA, OR ANY SERVICE PROVIDER'S PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, AND WILL NOT BE LIABLE FOR ANY SUCH INTERRUPTIONS OR ERRORS.

Arbitration & Information

By enrolling in the Inno Supps TikTok Shop Program, you expressly acknowledge that you have read, understood, and agree to be bound by these comprehensive Terms and Conditions. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Nevada, and the arbitrator's decision shall be final and nbinding. Each party shall bear its own costs of arbitration, including attorneys' fees. You understand that by agreeing to arbitration, you are waiving your right to resolve disputes in a court of law by a judge or jury.
